What the Form 4 transaction codes mean

Every line of a Form 4 carries a letter code for the kind of transaction. Only P, an open market or private purchase, is an insider buying with their own money; grants, option exercises and shares withheld for tax are not.

Counted over the 2,039,241 Form 4 Table I (non-derivative) lines this site holds since 2020. Options and other derivatives are reported in Table II and are not counted here, so codes such as X and O are rare. Only P in common shares counts as a purchase here.
